The Company was incorporated in the Cayman Islands on 21 July 2021 under the Companies Act (As Revised) of the Cayman Islands as an exempted company with limited liability. The Company is a new special purpose acquisition company incorporated for the purpose of effecting an initial business combination. The Company has not selected any potential business combination target and has not, nor has anyone on its behalf, initiated any substantive discussions, directly or indirectly, with any potential business combination target. The Company has also not entered into any written binding acquisition agreement with respect to a potential business acquisition. The Company intends to identify, acquire and manage a business with a core technology focus, highly differentiated products and scalable business models, with the aim to improve people’s lives by transforming businesses, markets and economies. The Company’s sponsor is Vertex Venture Holdings Ltd, a Singapore-based global venture capital platform which provides anchor funding and operational support to a proprietary global network of venture capital funds, through a master fund structure. With the breadth of its sponsor’s global venture capital platform and depth of its local expert teams, the Company believes it has a unique ability to help support its target company scale and grow faster, as it transitions into the next phase of its life cycle.
